Bulgaria’s Supreme Cassation Court restored Krassimir Mitev as shareholder in Astera Holding. Mitev was removed from the shareholders' list by virtue of a general meeting decision of 2000, which approved cancellation of his shares. Krassimir Mitev holds 96,000 registered voting shares, which make up 50% of Astera Holding's capita. Before the cassation court came up with a ruling on March 2, 2004, in May last year the Court of Appeals revoked the decisions of the shareholders' meetings taken between June 27, 2000 and July 19, 2000 as contradicting the company's statutes concerning the majority for taking decisions. The Sofia Court of Appeals restored Astera Holding's board of directors, where Mitev is member and executive director. In 2002 Astera Holding was succeeded by Tessi OOD and the holding was deleted from the register. Tessi's lawyer commented that Mitev's rights would be restored, his shares would be transformed into shares and he would become partner in Tessi OOD. The company holds 40% of Rubella AD, which is managed by Krassimir Mitev, who holds 60% of Rubella through his offshore Ardani. In 2002 the Supreme Cassation Court placed Rubella in liquidation due to falsified incorporation documents and in 2003 Mitev bought the company for BGN 100,000.
