Fibank announced that it will commence the repurchase of up to 3 000 000 shares. The buyback period will run between 23 October and 30 November at a minimum price of EUR 0.51 per share and a maximum equal to the balance value of the shares. Note that according to the Q3 consolidated report, the balance value per share is EUR 7.20. The buyback will be executed through FFBH. Recall that a couple of weeks ago the bank received authorisation by the Bulgarian National Bank to repurchase up to 5 610 000 ordinary shares, out of which up to 4 517 224 in 2026 and up to 1 092 776 in 2027. The repurchase of shares was approved at the Bank’s Extraordinary General Shareholders’ Meeting held on 5 December 2025. The repurchase of shares consists of two separate buyback programs. The first one is for up to 1 142 040 shares (0.766% of capital) at a minimum price of EUR 0.51 per share and a maximum equal to their balance value. The shares repurchased under this program are intended to be used for bonuses for 3 members of the Supervisory Board. The additional buyback program would be for up to 4 467 960 shares (3% of capital) under the same pricing conditions. The two buyback programs combined could not exceed 3% of the bank’s capital per calendar year. The treasury shares acquired under the additional program would subsequently be cancelled to offset the dilution resulting from the issuance of new shares, part of the bonus arrangements for the three Supervisory Board members.
