The Financial Supervision Commission approved the capital increase prospectus of Fibank. The latter will issue up to 40 000 000 ordinary shares with nominal value of BGN 1.00 and issue price of BGN 5. Each existing share will receive one right, which could be exercised at a 2.75:1 ratio. The offering would be considered successful if at least 4 000 000 have been subscribed (10% of the new issue). Note that the issue price was reduced from BGN 8.00 previously announced. The change was based on complex analysis made by the investment intermediary servicing the issue – FFBH. The major applicable arguments taken into consideration were the market price of shares, as well as transactions with majority shareholding of other banks on the domestic market in recent years. The analysis also intended to attract the widest circle of investors. “The analysis achieves a balance between the need to guarantee investor protection and the pure market efficiency of the capital increase. The key risks that are specific to securities have been covered, along with those that are specific and typical for the issuer and the issuer’s sector”, the Management Board decided. The purpose of the capital raise is to ensure the implementation of Fibank’s strategy for expanding the market presence in retail banking and SME lending.
