Sopharma shareholders will gather on 9 August to vote the merger with its local subsidiary Veta pharma. Sopharma controls 99.98% stake in the subsidiary. According to the merger contract, one Veta pharma’s share, held by the minority shareholders, would be exchanged for 0.22689 Sopharma’s shares as the former is valued at BGN 1.89 per share while the latter at BGN 8.33 per share. Veta pharma reported sales of BGN 3.4m and net loss of BGN 13k in 2023. Recall that the main stakes in Veta pharma were acquired in 2016 and 2017 for a total of BGN 9.7m, while in 2020 the investment was partly impaired by BGN 2.9m.
